1. Agreement to terms
By accessing or using the website and services provided by LeadPath Partners ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our website or services.
2. Services
LeadPath Partners is an AI GTM consultancy that provides outbound pipeline generation services for vendor-aligned technology consultancies. Our services include email outbound campaigns, LinkedIn engagement, CRM setup and configuration, data enrichment, and sales automation. The specific scope of work, deliverables, and timelines for each engagement are defined in a separate service agreement.
3. Eligibility
Our services are designed for B2B technology consultancies. By engaging our services, you represent that you are authorised to enter into agreements on behalf of your organisation and that your use of our services complies with all applicable laws.
4. Client responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for service delivery, including ideal client profiles, service descriptions, and brand guidelines
- Respond to information requests within reasonable timeframes to avoid delays
- Ensure you have appropriate rights and consents for any materials you provide
- Comply with all applicable laws and regulations, including data protection and anti-spam legislation
- Not use our services for any unlawful, misleading, or reputationally harmful purpose
5. Engagement and payment
Unless otherwise specified in your service agreement:
- Services are provided on a monthly retainer basis
- Invoices are issued at the start of each month and due within 14 days
- Late payments may incur interest at 4% above the Bank of England base rate
- All fees are exclusive of VAT unless stated otherwise
- Fees are non-refundable for the current billing period once services have commenced
6. Intellectual property
All content, methodologies, campaign frameworks, and materials created by LeadPath Partners remain our intellectual property unless explicitly transferred in writing. You retain full ownership of your brand assets, logos, and materials provided to us. Campaign copy and outreach sequences created during an engagement may be used by you after the engagement ends, but our underlying systems and processes remain proprietary.
7. Data processing
Where we process personal data on your behalf as part of outbound campaigns, we act as a data processor. A separate Data Processing Agreement will be provided as part of client onboarding, outlining responsibilities under UK GDPR. You remain the data controller and are responsible for ensuring a lawful basis for processing the contact data used in campaigns.
8. Confidentiality
Both parties agree to keep confidential any proprietary, commercial, or sensitive information disclosed during the engagement. This includes campaign strategies, client lists, performance data, and business plans. Confidentiality obligations survive termination of the engagement for a period of two years.
9. No guaranteed outcomes
While we are committed to delivering high-quality outbound campaigns and have a strong track record, we cannot guarantee specific results such as a fixed number of meetings or revenue outcomes. Outbound performance depends on factors including market conditions, your service offering, pricing, and prospect responsiveness. We guarantee our process, not specific commercial results.
10. Limitation of liability
To the maximum extent permitted by law, LeadPath Partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total aggregate liability for any claim shall not exceed the total fees paid by you in the three months preceding the event giving rise to the claim. Nothing in these terms excludes liability for fraud, death, or personal injury caused by negligence.
11. Termination
Either party may terminate the engagement with 30 days written notice. We reserve the right to terminate immediately if you breach these terms, fail to make payment, or engage in conduct that may harm our business reputation. Upon termination, we will provide a handover of any active campaign assets and data within 14 days.
12. Website use
You may not use our website to distribute malware, attempt unauthorised access, scrape content, or engage in any activity that interferes with normal website operation. All website content is protected by copyright and may not be reproduced without written permission.
13. Changes to terms
We may update these terms from time to time. Material changes will be communicated to active clients by email. Continued use of our services after changes constitutes acceptance of the revised terms.
14. Governing law
These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
